1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the business you represent. By using EZQuotes, you represent that you meet these requirements.

EZQuotes is intended for use by tradespeople and small businesses operating in Canada and the United States.

2. Your Account

2.1 Registration

To use EZQuotes, you must create an account by providing accurate and complete information, including a valid phone number or email address. You are responsible for keeping your account information current.

2.2 Account Security

You are responsible for all activity that occurs under your account. Keep your credentials confidential and notify us immediately at support@ezquotes.com if you suspect unauthorized access.

2.3 One Account Per Business

Each business operates as a separate tenant within EZQuotes. You may be a member of multiple business accounts, but each account is independently managed.

2.4 Team Members

As an account Owner or Admin, you may invite additional users to your account. You are responsible for the actions of all users you add and for ensuring they comply with these Terms.

3. Use of the Service

3.1 Permitted Use

You may use EZQuotes to create, send, and manage quotes and invoices for your legitimate business operations.

3.2 Prohibited Conduct

You agree not to:

• Use EZQuotes for any unlawful purpose or in violation of any applicable law or regulation
• Impersonate any person or entity, or misrepresent your affiliation with a business
• Upload or transmit content that is fraudulent, defamatory, or infringes the rights of any third party
• Attempt to gain unauthorized access to any part of the Service or another user's account
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited commercial messages (spam) to your clients
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
• Resell, sublicense, or otherwise make the Service available to third parties without our written permission

3.3 Acceptable Client Data

By entering client information into EZQuotes, you represent that you have a legitimate business relationship with those clients and that you are permitted to store and use their contact details for business communication purposes.

4. Quotes, Invoices, and Your Data

4.1 Ownership

You retain ownership of all data you input into EZQuotes, including your quotes, invoices, client records, and business information. We do not claim any intellectual property rights over your content.

4.2 License to Operate the Service

By using EZQuotes, you grant us a limited, non-exclusive, worldwide license to store, process, and display your content solely as necessary to provide the Service to you.

4.3 Document Delivery

When you send a quote or invoice to a client, EZQuotes generates a secure link to that document. You are responsible for ensuring the accuracy of all information in documents you send to clients. We are not a party to any transaction or agreement between you and your clients.

4.4 Accuracy of Documents

You are solely responsible for the accuracy of pricing, tax calculations, and other information contained in your quotes and invoices. EZQuotes provides tools to assist with these calculations but does not guarantee their accuracy for any particular jurisdiction or circumstance.

5. AI-Assisted Features

EZQuotes offers AI-powered features to help you create quotes and manage your business more efficiently. These features are provided as productivity tools and are subject to the following:

• AI-generated content is a suggestion only. You are responsible for reviewing and approving all outputs before sending them to clients.
• We do not guarantee the accuracy, completeness, or suitability of any AI-generated content for your specific situation.
• You should not rely on AI features as a substitute for professional advice (legal, financial, or otherwise).

6. SMS Communications

By providing your phone number and consenting during registration, you agree to receive SMS messages from EZQuotes for account verification and transactional notifications. Standard messaging rates from your carrier may apply. You may opt out of non-essential messages at any time by replying STOP or updating your preferences in the app.

We comply with Canada's Anti-Spam Legislation (CASL) and applicable US regulations. For details, see our Privacy Policy.

7. Payments and Subscriptions

7.1 Subscription Plans

EZQuotes is offered on a subscription basis. Pricing, plan features, and billing cycles are described on our pricing page. We reserve the right to change pricing with reasonable notice.

7.2 Billing

By subscribing, you authorize us to charge your payment method on a recurring basis for the applicable subscription fee. All fees are in Canadian dollars (CAD) unless otherwise stated.

7.3 Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for any sales tax, GST, HST, or other taxes applicable to your subscription based on your location.

7.4 Refunds

Subscription fees are generally non-refundable except where required by applicable law. If you believe you have been charged in error, contact us within 30 days of the charge.

7.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

8. Intellectual Property

8.1 Our Property

EZQuotes and all related software, designs, trademarks, and content (excluding your data) are owned by us or our licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any rights in the Service beyond the limited license to use it as described herein.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about EZQuotes, you grant us the right to use that feedback without restriction or compensation to you.

9. Third-Party Services

EZQuotes integrates with or relies on third-party services (such as payment processors, SMS providers, and cloud infrastructure). Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or free of viruses or harmful components
• Any errors in the Service will be corrected
• The Service will meet your specific business requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

12. Indemnification

You agree to indemnify, defend, and hold harmless EZQuotes and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any content or data you submit to the Service

13. Suspension and Termination

13.1 By You

You may close your account at any time through your account settings or by contacting us.

13.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continued access poses a risk to us, other users, or third parties.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for up to 90 days following termination, during which you may request an export. After that period, your data will be deleted in accordance with our Privacy Policy.

Provisions of these Terms that by their nature should survive termination (including Sections 4, 8, 10, 11, 12, and 15) will survive.

14. Modifications to the Service and Terms

14.1 Service Changes

We may modify, suspend, or discontinue any feature of the Service at any time. We will provide reasonable notice of significant changes where practicable.

14.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice and update the "Last Updated" date above. Your continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, and you consent to personal jurisdiction in those courts.

If you are a US-based user, you acknowledge that certain rights under state law may apply and are not waived by this section.

16. General

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
• No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to do so in the future.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
• Language: These Terms are written in English. If they are translated into another language, the English version controls in the event of any conflict.
